These Terms of Service (“Terms”) are a binding agreement between you and HeadsUp Hockey, Inc. (“HeadsUp Hockey,” “we,” “us,” or “our”) governing your use of the HeadsUp Hockey mobile application (the “App”). By downloading or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old to create an account or use the App’s online features. If you are under 13, the App runs in a private, on-device mode with no account, no uploads, and no social features, as described in our Privacy Policy. If you are between 13 and the age of majority where you live, you represent that your parent or guardian has reviewed and agreed to these Terms.

2. License

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App for your own non-commercial training and entertainment. You may not copy, modify, reverse-engineer, resell, or attempt to extract our source code, models, or data, except where such restriction is prohibited by law.

3. Subscriptions, payments, and codes

A paid subscription is required to use the App’s recording and analysis features (other than the under-13 on-device mode). Subscriptions are sold as auto-renewing in-app purchases, and we may also offer a one-time lifetime purchase.

  • Billing. Payment is charged to your Apple Account at confirmation of purchase.
  • Auto-renewal. An auto-renewing subscription renews for the same period and price unless you cancel at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours before the period ends.
  • Managing and cancelling. You can manage or cancel your subscription in your Apple Account settings. Deleting the App does not cancel a subscription.
  • Redemption codes. We may grant access through redemption codes. Codes have no cash value, are single-use unless stated otherwise, and may be revoked if obtained or used fraudulently or in breach of these Terms.
  • Refunds. Purchases are handled by Apple and are subject to Apple’s refund policies. We generally cannot issue refunds directly.
  • Price changes. We may change prices going forward; changes do not affect a period you’ve already paid for.

4. User content and conduct

The App lets you create and share content such as recorded sessions, posts, profile details, team activity, and challenge participation (“User Content”). You retain ownership of your User Content. By sharing it through the App, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display that content as needed to operate and improve the App and to make it available to others according to your sharing settings.

There is zero tolerance for objectionable content or abusive behavior. You agree not to post or share content that is unlawful, harassing, hateful, threatening, sexually explicit, violent, infringing, deceptive, or otherwise objectionable, and not to impersonate others or violate anyone’s rights.

To keep the community safe, the App provides tools to report objectionable content and block abusive users. We review reports and may remove content and suspend or terminate accounts that violate these Terms, typically acting on reported content within 24 hours.

5. Health and safety

The App involves physical activity. You are responsible for using safe equipment and surroundings and for shooting within your ability. Consult a physician before beginning any new physical activity. You use the App at your own risk, and we are not responsible for any injury that results from your use of it.

6. Analysis is informational

Shot detection, speed, accuracy, scores, and other metrics are produced by automated analysis and are provided for training and informational purposes only. They may be inaccurate or incomplete and are not a guarantee of athletic performance or results.

7. Intellectual property

The App, including its software, models, design, branding, and content we provide, is owned by HeadsUp Hockey, Inc. and protected by intellectual-property laws. These Terms do not grant you any rights in our trademarks or other intellectual property except the limited license above.

8. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEADSUP HOCKEY, INC. AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $50.

10. Indemnification

You agree to indemnify and hold harmless HeadsUp Hockey, Inc. from any claims, damages, or expenses arising out of your User Content, your use of the App, or your violation of these Terms or of any law or third-party right.

11. Termination

You may stop using the App at any time and delete your account in the App. We may suspend or terminate your access if you violate these Terms or to protect the App or its users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration or small-claims court, to the extent permitted by law.

13. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, provide notice in the App. Continued use after changes take effect means you accept the updated Terms.

14. Apple App Store

If you obtained the App through Apple’s App Store, you acknowledge that these Terms are between you and HeadsUp Hockey, Inc. only, not Apple, and that Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the App, and Apple is not responsible for addressing any claims relating to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list, and you agree to comply with applicable third-party terms (for example, your wireless carrier’s terms) when using the App.
